HUNAN ASSOCIATION OF SAN FRANCISCO BAY AREA CHARTER

 

1. ASSOCIATION NAME

The Association name is Hunan Association of San Francisco Bay Area. Referred as Association thereafter.

2. NATURE

This Association is an independent, non-political, non religious, non-profit, and voluntary association.

3. TENET

The tenets of this Association are to connect, unite, and serve the people from Hunan living in the San Francisco Bay Area; to promote communications between the San Francisco Bay Area and Hunan Province of China in areas of economic, trade, culture and art performances.

The Association will unite the members to participate social activities in the Bay Area friendly and peacefully; to host visitors and units from Hunan Province; to organize volunteers visiting Hunan Province for promoting communication in the field of trade and cultural research. The activities are for understanding, respecting and caring, enhancing friendship, serving and contributing to the society.

4. MEMBERS

The members of this Association are Hunan natives who worked, lived, studied in Hunan Province or having relatives in Hunan.  Member must be age 18 or older, agrees and supports this Charter.

Member has the right to vote and to be voted.

Member has obligation to support this Charter, to actively participate activities organized by the Association, and to glorifying the reputation of the Association.

Member has the right to make comments and suggestions to the Association and can withdraw membership under no condition.

5. ORGANIZATION AND MANAGEMENT

The yearly Member Assembly has the highest authority of the Association while the temporal meeting may be held if necessary. The main duties of the Member Assembly: (1) Review reports by Council that include financial report and proposals for future plans. (2) Conduct general elections  of new Council.

The Council is the decision-maker of the Association. The Council has one President and several vise Presidents and directors. The total number of Council members shall be an odd number. Directors are elected by the Member Assembly for a term of two years. Directors can be elected for more than one term.

The Directors are enthusiastic leaders responsible to managing the Association and arranging activities for public affairs.

The President is in charge of overall affairs of the Association.  The duties of President include organizing and conducting the Member Assembly, arranging and organizing all activities.  President is elected by the Council for a term of two years, no more than two terms.

The Association has several vise Presidents.  Duties in three areas are under the charge of vise presidents: affairs related to economic and trade, art performances and cultural research.

The honorary Presidents and consultants of the Association are highly respected members or the members with special contribution to the Association. The Council recommends honorary Presidents and consultants.

6. FINANCIAL SOURCE AND CONTROL

Members shall contribute Membership fee voluntarily; any amount of the contribution is acceptable; the membership fee shall be used to cover routine cost of the Association.  Other financial source of the Association may include:

   (1). Tickets: for activities organized by the Association, the host committee may decide to collect fees.  The amount of the fee shall  be determined per cost estimation without profit
   (2). Donations and contributions from enterprises and members
   (3). Advertisement incomes
   (4). Other incomes

All financial affairs are administered by Director of Finance of the Association.  The duties of the Director of Finance are collecting membership fee, donations, ticket fees and all other contributions and incomes; controlling all receivables and payables. The Director of Finance shall submit financial report to the Council and the Member Assembly for review.

Any adopted policy is to be democratically carried out on all financial matters. The expense over $200 must be approved by the Council; no individual should affect the functionalities of the Finance Director.

7. SUPPLEMENTARY PROVISIONS

This Charter shall come into effect upon the approval of the Member Assembly. This Charter shall be interpreted by Council of the Association. The amendment of the Charter shall be approved by majority members of the Member Assembly.
